1. INTRODUCTION

1.1 About Solvera

Solvera operates an online platform and related services that facilitate the buying, selling, consigning, servicing, and auctioning of pre‑owned watches. The Services may include auctions, consignment arrangements, watch servicing coordination, membership features, community functions, and other related services offered by Solvera from time to time.

By accessing or using our website, creating an account, participating in an auction, submitting a watch for sale or service, or otherwise using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms, you should not access or use our Services.

1.2 Nature of the Platform

Unless expressly stated otherwise in writing, watches listed on the Solvera platform remain the property of their respective owners, consignors, or independent sellers until a transaction has been successfully completed. Submission of a watch to Solvera for authentication, inspection, photography, cataloguing, storage, listing preparation, marketing, servicing, auction administration, or delivery coordination does not constitute a transfer of ownership to Solvera.

Solvera may assist with: Authentication and verification, Photography and listing preparation, Auction administration, Payment collection and settlement, Shipping and delivery arrangements, Customer communication, After‑sales coordination. Such involvement does not automatically make Solvera the owner or seller of the watch. Unless expressly stated otherwise, Solvera acts as a facilitator and service provider for transactions conducted through the platform.

1.3 Ownership and Responsibility

The seller or consignor is responsible for ensuring that: they are the lawful owner of the watch or have the authority to sell it; the watch is not stolen, counterfeit, or subject to legal dispute; the information provided to Solvera is accurate and complete. The buyer is responsible for reviewing listings, photographs, descriptions, and supporting information before making a purchase decision.

1.4 Solvera's Role

Solvera may provide opinions, observations, authentication assistance, market information, and transaction support in good faith. However, unless expressly stated otherwise in writing, Solvera does not guarantee future value, investment performance, collectability, appreciation, or resale outcomes of any watch listed on the platform. To the fullest extent permitted by law, Solvera acts as a facilitator between buyers and sellers and is not responsible for obligations that properly belong to either party.

1.5 Changes to the Services

Solvera reserves the right to modify, suspend, discontinue, restrict, or introduce services, features, or policies at any time without prior notice where reasonably necessary for operational, legal, security, or business reasons. Continued use of the Services following such changes constitutes acceptance of the updated Terms.

2. USER ACCOUNTS

2.1 Eligibility

Users must be at least eighteen (18) years old and legally capable of entering into binding agreements under the laws of their jurisdiction. By creating an account or using the Services, you represent and warrant that you satisfy these requirements.

2.2 Account Registration

Certain Services may require the creation of an account. Users agree to provide information that is accurate, complete, and up to date and shall promptly update such information where necessary. Solvera reserves the right to refuse account creation or registration requests at its sole discretion.

2.3 Account Security

Users are responsible for maintaining the confidentiality of their login credentials and for all activities conducted under their account. Any use of an account shall be deemed to have been authorised by the account holder unless proven otherwise. Users must notify Solvera immediately upon becoming aware of any unauthorised use of their account or security breach.

2.4 Verification and Know Your Customer Requirements

Solvera reserves the right to request additional information, including but not limited to: Government‑issued identification documents; Proof of address; Proof of ownership of a watch; Proof of payment source; Supporting documents relating to transactions. Such requests may be made for identity verification, fraud prevention, anti‑money laundering compliance, dispute resolution, payment verification, regulatory compliance, or other legitimate business purposes. Failure to provide requested information may result in delays, account restrictions, cancellation of transactions, suspension of services, or refusal of access to the platform.

2.5 One Account Policy

Users may not create multiple accounts to avoid restrictions, manipulate auctions, influence prices, or circumvent platform policies. Solvera reserves the right to merge, suspend, or terminate related accounts where such behaviour is suspected.

2.6 Account Suspension and Termination

Solvera reserves the right to suspend, restrict, or terminate any account without prior notice where it reasonably believes that: fraudulent activity has occurred; misleading information has been provided; payment obligations have not been fulfilled; platform rules have been violated; the integrity of auctions or transactions may be compromised; or continued access may expose Solvera, other users, or third parties to risk. Solvera's decision regarding account restrictions or termination shall be final.

3. PROHIBITED CONDUCT

Users agree not to: provide false or misleading information; submit stolen or counterfeit watches; manipulate bids or auction prices; interfere with the operation of the platform; create multiple accounts for unfair advantage; engage in harassment, abuse, or threatening behaviour; attempt to bypass Solvera fees or commissions; complete transactions off‑platform after introduction through Solvera; misuse of photographs, listings, or content created by Solvera; use bots, scripts, automated tools, or other technologies to interfere with the platform. Solvera reserves the right to investigate any suspected breach and to cooperate with banks, payment providers, law enforcement authorities, insurers, and regulators where necessary.

4. BUYING, SELLING AND AUCTIONS

4.1 Buying Watches

By purchasing a watch through Solvera, the Buyer acknowledges that the watch is a pre‑owned item unless expressly stated otherwise. Pre‑owned watches may exhibit signs of age, wear, servicing, polishing, replacement components, bracelet stretch, variations in lume performance, and differences in timekeeping performance that are consistent with previously owned mechanical or quartz watches. Buyers are encouraged to review all photographs, descriptions, condition notes, and supporting information prior to committing to a purchase. Additional questions should be raised before payment or bidding is completed.

4.2 Seller Representations

By submitting a watch for sale, auction, or consignment, the Seller represents and warrants that: the Seller is the lawful owner of the watch or has the authority to sell it; the watch is authentic to the best of the Seller's knowledge; the watch is not stolen, counterfeit, or subject to any ownership dispute; all information provided is accurate and complete; the sale does not violate any applicable law or third‑party rights. The Seller agrees to indemnify and hold Solvera harmless against claims arising from breaches of these representations.

4.3 Consignment

Unless expressly agreed otherwise in writing, ownership of consigned watches remains with the Seller until completion of the sale and settlement of the transaction. Solvera may provide services including: authentication assistance; photography; listing preparation; marketing; storage; auction administration; payment collection; delivery coordination. Such services do not constitute a transfer of ownership to Solvera.

4.4 Auctions

By placing a bid, a bidder confirms that: the bid is genuine; sufficient funds are available to complete the purchase; the bidder intends to complete the transaction if successful. All bids are considered binding. The successful bidder is legally obligated to complete payment within the period specified by Solvera. Failure to complete payment may result in: cancellation of the transaction; forfeiture of deposits or fees paid; suspension or termination of the bidder account; recovery of losses, costs, and expenses incurred by Solvera or the Seller.

4.5 Auction Administration

Solvera reserves the right to: withdraw a listing; extend an auction; reopen bidding; cancel bids; suspend bidders; cancel transactions; remove listings; reject participation in any auction. Such actions may be taken where fraud, technical irregularities, payment concerns, ownership disputes, or other issues affecting the integrity of the auction are suspected. Solvera's decisions regarding auction administration shall be final.

4.6 Payment

All payments must be made using methods approved by Solvera. Solvera reserves the right to withhold settlement, delivery, or transfer of funds pending verification, fraud review, ownership confirmation, or dispute resolution. Ownership of the watch shall not pass to the Buyer until full payment has been received and cleared.

4.7 Chargebacks and Payment Disputes

Buyers agree not to initiate chargebacks, payment reversals, or payment disputes in bad faith after receiving a watch or receiving services from Solvera. Where a chargeback or payment reversal occurs, Solvera reserves the right to: suspended user accounts; recover outstanding amounts; recover legal costs and collection expenses; report fraudulent conduct to financial institutions or authorities; withhold future access to the platform.

4.8 Shipping and Collection

Unless otherwise agreed in writing, risk of loss or damage shall pass to the Buyer upon delivery of the watch to the Buyer or the Buyer's authorised representative. Where the Buyer appoints or instructs the use of a particular courier, freight forwarder, or collection agent, risk shall pass to the Buyer upon delivery to such party.

4.9 Authenticity and Condition

Any opinion regarding authenticity, originality, service history, condition, rarity, collectability, or market value is provided in good faith based on information reasonably available at the time. Unless expressly guaranteed in writing, Solvera does not warrant future value, investment performance, appreciation, or resale prices. Minor differences in photographs, colour reproduction, wear patterns, polishing history, timekeeping performance, bracelet condition, and age‑related characteristics shall not constitute misrepresentation.

4.10 Returns and Refunds

Unless otherwise required by applicable law or expressly agreed in writing, all sales conducted through Solvera are final. Requests for returns, refunds, or cancellations shall be considered solely at Solvera's discretion and in accordance with any applicable return policies published by Solvera from time to time.

5. LIMITATION OF LIABILITY

5.1 Platform Services

Solvera provides a platform and related services intended to facilitate transactions between independent parties. To the fullest extent permitted by law, Solvera shall not be responsible for disputes arising directly between buyers, sellers, consignors, service providers, couriers, insurers, or other third parties.

5.2 No Guarantee of Future Performance

Solvera does not guarantee: future market value; investment performance; appreciation in value; future collectability; future demand; resale prices; future service costs. Any opinions, observations, estimates, or market commentary are provided in good faith and should not be treated as financial, investment, or professional advice.

5.3 No Warranty of Continuous Availability

Solvera does not guarantee that the website, auction platform, or related services will operate without interruption, delay, technical errors, maintenance periods, cyber incidents, or failures beyond Solvera's reasonable control. Solvera reserves the right to suspend or restrict access to the platform for maintenance, security, legal compliance, or operational reasons.

5.4 Third Party Services

Solvera may use third‑party service providers, including but not limited to: payment processors; couriers; insurers; authentication partners; watchmakers and service centres; technology providers. Solvera shall not be liable for losses arising from actions, delays, errors, failures, or omissions of such third parties.

5.5 Maximum Liability

To the fullest extent permitted by law, Solvera's total aggregate liability arising out of any claim, transaction, dispute, or use of the platform shall not exceed: (a) the fees, commissions, or charges actually received by Solvera in connection with the transaction giving rise to the claim; or (b) RM5,000, whichever amount is greater. Under no circumstances shall Solvera be liable for: indirect losses; consequential losses; loss of profits; loss of business opportunities; loss of reputation; loss of goodwill; investment losses; loss of anticipated savings.

6. INDEMNITY

Users agree to indemnify and hold harmless Solvera, its directors, shareholders, employees, contractors, agents, service providers, and representatives against all claims, liabilities, losses, damages, costs, and expenses arising from: breaches of these Terms; fraudulent activity; ownership disputes; counterfeit watches; intellectual property disputes; chargebacks or payment reversals; violations of applicable laws; inaccurate information supplied by the User. This indemnity shall survive termination of the relationship between the User and Solvera.

7. INTELLECTUAL PROPERTY

All photographs, descriptions, articles, graphics, logos, trademarks, website content, and materials created by Solvera remain the intellectual property of Solvera unless otherwise stated. Users may not reproduce, distribute, copy, modify, republish, scrape, or commercially exploit such materials without prior written consent. Solvera reserves the right to continue using photographs and materials created during the consignment process for archival, educational, promotional, historical, and marketing purposes unless otherwise agreed in writing.

8. FORCE MAJEURE

Solvera shall not be liable for delays, interruptions, failures, or inability to perform obligations caused by events beyond its reasonable control, including but not limited to: natural disasters; war; terrorism; riots; strikes; pandemics; government actions; cyber attacks; power failures; internet outages; payment network failures; courier disruptions. Where such events occur, Solvera may suspend or modify its obligations for the duration of the affected period.

9. GOVERNING LAW

These Terms shall be governed by and interpreted in accordance with the laws of Malaysia. The courts of Malaysia shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or the use of Solvera's Services. Nothing in these Terms prevents Solvera from pursuing legal action in any jurisdiction where assets or parties relevant to the dispute are located.

10. CHANGES TO THESE TERMS

Solvera reserves the right to amend, update, or replace these Terms at any time. Updated Terms shall become effective upon publication on the Solvera website unless otherwise stated. Continued use of the Services following such publication constitutes acceptance of the revised Terms.

11. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy and any policies or rules published by Solvera from time to time, constitute the entire agreement between Solvera and the User regarding the use of the Services.

12. SEVERABILITY

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13. COMPLAINTS AND DISPUTES

Users agree to raise disputes, complaints, or concerns with Solvera as soon as reasonably possible after becoming aware of the issue. Solvera may request photographs, videos, supporting documents, service records, payment records, shipping records, expert opinions, or other evidence necessary to investigate the matter. Users agree to cooperate in good faith during any investigation or dispute resolution process. Solvera reserves the right to temporarily hold funds, suspend settlements, delay delivery, or restrict account access while investigations are ongoing.

14. STORAGE AND UNCOLLECTED WATCHES

Where a watch remains uncollected following completion of a transaction, service, inspection, authentication, or consignment arrangement, Solvera may charge reasonable storage fees after providing reasonable notice. Where a watch remains uncollected for an extended period, and the owner cannot be contacted despite reasonable efforts, Solvera reserves the right to recover outstanding fees, storage charges, shipping charges, and other costs permitted by law.

15. AUTHORITY TO TRANSACT

Users represent and warrant that they have the legal authority to: sell the watch; purchase the watch; make payment; enter into binding agreements. Where a payment is later found to have been made without the consent or authority of the account holder, Solvera shall not be responsible for losses arising from such unauthorised use.

16. OFF‑PLATFORM TRANSACTIONS

When a buyer and seller are introduced through Solvera, users agree not to intentionally circumvent Solvera by completing the transaction outside the platform to avoid fees or commissions. Solvera reserves the right to suspend accounts, terminate services, or recover commissions and losses arising from such conduct.

17. SERVICE AND REPAIR DISCLAIMER

Where Solvera assists in arranging servicing, repairs, polishing, pressure testing, or other technical work through third‑party watchmakers or service centres, Solvera acts solely as a coordinator unless expressly stated otherwise. Time estimates, repair outcomes, replacement part availability, water resistance performance, and servicing recommendations may vary depending on the watch's age and condition. Solvera shall not be responsible for delays or decisions made by independent service providers.

18. ABANDONED PROPERTY

Where watches, accessories, documents, straps, boxes, or other property remain unclaimed for an unreasonable period following repeated attempts to contact the owner, Solvera reserves the right to take reasonable action permitted under applicable law to recover outstanding costs associated with storage, insurance, transportation, servicing, or administration.

19. AUTHENTICITY REVIEW

Solvera may perform or arrange authentication, inspection, or verification services in connection with watches listed on the platform. Any authentication opinion provided by Solvera is made in good faith based on information reasonably available at the time of inspection. Authentication opinions do not constitute an insurance guarantee or perpetual warranty of authenticity. Where new evidence becomes available after a transaction has been completed, Solvera reserves the right to review, amend, or withdraw previous assessments where reasonably necessary.

20. CONDITION REPORTS

Condition reports, photographs, measurements, descriptions, and observations are intended to assist buyers in making informed decisions. Unless expressly stated otherwise, condition reports should not be interpreted as exhaustive technical assessments. Normal signs of ownership may include: scratches; dents; polishing marks; bracelet stretch; ageing lume; servicing marks; replacement components; variations in timekeeping performance. Buyers acknowledge that pre‑owned watches may differ from factory‑new products.

21. TIMEKEEPING PERFORMANCE

Mechanical watches are precision mechanical instruments and may perform differently depending on usage patterns, position, servicing history, temperature, magnetism, and environmental conditions. Unless expressly guaranteed in writing, Solvera does not warrant compliance with manufacturer chronometer standards or factory specifications. Minor deviations in timekeeping performance shall not constitute defects or misrepresentation.

22. WATER RESISTANCE

Water resistance ratings are based on manufacturer specifications and may change over time due to age, servicing history, wear, impact, gasket condition, or previous repairs. Unless expressly confirmed following pressure testing, Solvera does not guarantee the water resistance performance of any pre‑owned watch. Users are encouraged to perform periodic pressure testing where water resistance is important.

23. SERVICE HISTORY

Service records supplied by sellers, consignors, previous owners, manufacturers, or third parties are accepted in good faith. Solvera does not independently verify all historical servicing information and makes no guarantee regarding completeness or accuracy unless expressly stated otherwise.

24. BOXES, PAPERS AND ACCESSORIES

Descriptions of boxes, warranty cards, certificates, manuals, links, straps, or accessories refer only to items specifically included in the transaction. Images may occasionally include display materials, stands, or photography props, which are not included unless expressly stated.

25. CURRENCY AND PRICING

All prices displayed on the platform are denominated in Malaysian Ringgit (RM) unless otherwise stated. Solvera reserves the right to correct pricing errors, typographical errors, currency conversion errors, or technical mistakes without liability. Where an obvious pricing error has occurred, Solvera reserves the right to cancel or amend the transaction prior to completion.

26. TAXES AND DUTIES

Buyers are responsible for import duties, customs charges, taxes, regulatory fees, and other charges imposed by authorities outside Malaysia. Solvera shall not be responsible for delays, seizures, restrictions, or additional charges imposed by customs authorities or government agencies.

27. RECORDS AND COMMUNICATIONS

Electronic communications, invoices, account records, bidding histories, payment confirmations, emails, WhatsApp conversations, and system records maintained by Solvera may be relied upon as evidence in the event of disputes. In the absence of manifest error, Solvera's records shall be presumed accurate.

28. FINAL INTERPRETATION

To the fullest extent permitted by law, Solvera reserves the right to administer, interpret, and enforce platform rules, policies, and procedures in good faith and in a manner reasonably necessary to protect the integrity, security, and proper operation of the platform, including matters relating to: platform rules; auction administration; account restrictions; listing decisions; authentication disputes; fraud prevention measures; policy enforcement. Nothing in this clause limits any rights available to users under applicable Malaysian law.

29. SELLER SETTLEMENT

Unless otherwise agreed in writing, settlement to the Seller shall only be made after: full payment has been received from the Buyer; payment verification procedures have been completed; applicable fraud checks have been completed; the watch has been successfully delivered or collected; any return periods or dispute periods determined by Solvera have expired; and no chargebacks, reversals, claims, or investigations remain outstanding. Solvera reserves the right to delay settlement where fraud, disputes, payment concerns, ownership disputes, or regulatory issues are reasonably suspected.

30. RIGHT OF SET‑OFF

Solvera reserves the right to deduct, offset, or withhold any amounts owed by the Seller or User against amounts otherwise payable by Solvera. Such deductions may include, without limitation: commissions; listing fees; storage charges; shipping costs; insurance costs; servicing costs; repair costs; chargebacks; refunds; penalties; legal costs; losses arising from breaches of these Terms. Any remaining shortfall shall remain payable by the User upon demand.

31. WITHDRAWAL OF CONSIGNED WATCHES

Once a watch has been accepted for listing, marketing, auction, or consignment, the Seller may not withdraw the watch without Solvera's prior written approval. Where a withdrawal is permitted, Solvera reserves the right to recover reasonable costs already incurred, including but not limited to: photography; authentication; cataloguing; marketing; shipping; insurance; storage; administrative costs. Where an auction has already commenced, Solvera may refuse withdrawal requests if doing so would prejudice bidders, buyers, or the integrity of the auction process.

32. RESERVE PRICES

Unless otherwise expressly stated, Solvera auctions operate using a Starting Bid Price model rather than confidential reserve prices. The Starting Bid Price represents the opening reference price for the Auction Lot and the minimum level from which bidding may commence. Where a Starting Bid Price has been published, Solvera does not apply an undisclosed reserve price above the published Starting Bid Price. Where special reserve arrangements apply to a particular Auction Lot, such arrangements shall be disclosed in the relevant listing or auction information. Solvera reserves the right to determine the auction format applicable to each Auction Lot from time to time.

33. RISK AND INSURANCE

Unless otherwise agreed in writing, risk of loss or damage shall transfer as follows: prior to delivery to Solvera, risk remains with the Seller; during shipment to Solvera, risk remains with the sender unless otherwise insured; upon physical delivery and acceptance by Solvera, Solvera shall exercise reasonable care in safeguarding the watch while in its possession; where Solvera arranges shipping on behalf of the Buyer, Solvera shall use reasonable care in selecting reputable shipping providers, but does not guarantee the performance of third‑party logistics providers; where the Buyer appoints or instructs the use of a specific courier, freight forwarder, or collection agent, risk transfers to the Buyer upon delivery to such party; upon delivery to the Buyer or the Buyer's authorised representative, all remaining risk transfers to the Buyer. Solvera does not act as an insurer and does not provide automatic insurance coverage unless expressly agreed in writing. Users are encouraged to arrange appropriate insurance where necessary.

34. STORAGE OF PROPERTY

Solvera may store watches, accessories, boxes, papers, straps, and related property in connection with its services. Solvera shall exercise reasonable care while such property remains in its possession but shall not be liable for losses arising from: theft; fire; flood; natural disasters; civil unrest; acts of third parties; force majeure events; circumstances beyond Solvera's reasonable control.

35. ABANDONED PROPERTY

Where watches or other property remain uncollected for more than twelve (12) months following repeated reasonable attempts to contact the owner, Solvera reserves the right to take such action as may be reasonably necessary and legally permissible to recover: storage charges; insurance costs; servicing expenses; transportation costs; administrative expenses; outstanding fees. Such action may include disposal, sale, or liquidation of the property where permitted by law. Any surplus remaining after deduction of reasonable expenses shall remain payable to the rightful owner where identifiable.

36. NO PARTNERSHIP OR AGENCY

Nothing contained in these Terms shall create or be deemed to create any partnership, joint venture, employment relationship, fiduciary relationship, or agency relationship between Solvera and any User, Seller, Buyer, Consignor, or third party. Unless expressly stated otherwise in writing, no party shall have authority to bind Solvera to any obligation or agreement.

37. SURVIVAL

Any provisions relating to: payment obligations; indemnities; fraud prevention; intellectual property; limitation of liability; confidentiality; dispute resolution; governing law; outstanding fees and charges; shall survive termination of the relationship between the User and Solvera.

38. NOTICES

Solvera may provide notices, communications, reminders, requests, warnings, or other information to Users through: email; WhatsApp; SMS; account notifications; website announcements; or registered post. Notices shall be deemed received when sent to the contact details most recently provided by the User to Solvera. Users are responsible for ensuring that their contact information remains accurate and up to date.

39. ACCEPTANCE

By using the Solvera platform, you accept these Terms in their entirety.
